Kevin Sullivan handles global distribution agreement.
Kevin acted for Bell ID, a global software company based in The Netherlands, and advised on a long term OEM distributorship agreement granting ACI Worldwide Corp exclusive rights in the financial services market to distribute Bell ID’s ANDiS smart card management solutions. ACI Wordwide Corp is a global provider of electronic payment solutions for the world’s top financial institutions and is listed on the Nasdaq National Stock Market.
Kevin commented: “I advised Bell ID on the OEM distribution agreement which dealt primarily with the licensing and distribution of Bell ID’s smart card management solution for the financial services industry. In addition to the standard OEM model, Bell ID also took over some existing support services which involved some complex employee issues in The Netherlands which I assisted with.
These essentially covered the same problems that would be faced in England under TUPE as both the UK and The Netherlands, being members of the European Union, have implemented the Acquired Rights Directive in accordance with EU Law.”
“Dealing with large US corporations isn’t easy from a number of perspectives; time differences, terminology, language, currency and exchange rates, our Industry jargon together with the added pressure of the prospect of success resulting in large numbers of new financial clients! Plus we had to contend with complex employment issues which were at the heart of the agreement. Throughout the weeks of negotiation, I found Kevin to be a great asset in guiding us through and making sure that we understood the liabilities and risk factors. Two distinct agreements were forged and we had our first major client within two months of signing. Kevin felt like a part of our team and was happy to support us when required on out of hours conference calls. As a result I’m happy to recommend Warners.” David Orme, CEO of Bell ID
